In September 2021, RPM’s Construction Products Group purchased a chemical manufacturing facility in Corsicana, Texas. An explosion at a supplier’s plant resulted in a major supply disruption, which had an acute negative impact on the Consumer Group. Corsicana began producing raw materials to fill the gap.
This collaboration between segments played a critical role in helping RPM rebound from the supply chain disruption, contributed to strong sales in the first half of fiscal year 2023, and significantly helped CPG more than quadruple its intercompany sales since fiscal year 2018. 2022 Success Stories In 2022, RPM celebrated its 75th anniversary. Since its founding in May 1947 by Frank C. Sullivan, Republic Powdered Metals – the forerunner to RPM International Inc. – has grown from a company with $90,000 in sales during its first year to a $6.7 billion, multinational company with subsidiaries that are world leaders in specialty coatings, sealants, building materials and related services.

The purchase of a chemical manufacturing facility located in Corsicana, TX, is a prime example of RPM’s internal investment strategy. The site has been repurposed to serve as a manufacturing campus for a number of RPM operating companies. In addition, RPM has increased the facility’s head count by over 25% with engineers, scientists and other professionals. This investment is already yielding results – when one of RPM’s largest chemical suppliers suffered a catastrophic event that cut off delivery of alkyd resins, a key ingredient for its aerosol paints, Corsicana’s team stepped in and quickly began producing them.

2021 Success Stories
WildPlay in Niagara Falls enlisted Stonhard Canada to engineer a slip-resistant flooring system that would provide long-term, durable protection for the zipline’s safety-critical concrete decks. Stonhard Canada removed the old coatings and prepared the concrete deck surfaces for the installation of its Stondeck FD4 waterproofing system, a fluid-applied membrane that is designed to provide long-lasting protection for exposed concrete decks. Underlying cracks exposed during the preparation process were mechanically routed out and then pre-treated with polyurethane caulk and the Stondeck membrane. Next, Stonhard’s HT Primer was applied to the entire concrete surfacing, sealing the substrate for the final layers. Once the primer had cured, Stonhard Canada applied a polyurethane-epoxy hybrid membrane layer, followed by its Stondeck Basecoat base layer. A full broadcast of durable quartz aggregates were also added to achieve a consistent, slip-resistant surface. Finally, these aggregates were sealed in place with Stondeck UV Sealer.

2020 Success Stories Throughout the COVID-19 pandemic, Tremco Roofing & Building Maintenance has been providing critical roofing products and services for a number of hospital systems and other healthcare facilities so they can remain open and operational. The team at Tremco Roofing chose to restore, rather than completely replace, the hospital roofs by using its odorless AlphaGuard BIO System, which allows the projects to be completed in nearly half the time, reduce the costs by millions of dollars and be completed with zero disruptions for the patients and caregivers.
Stonhard was entrusted with providing a flooring solution for an emergency pop-up field hospital for COVID-19 patients that was in the process of being constructed in five large tents on a New York suburban university campus. Over Easter weekend, Stonhard’s local sales and leadership teams, along with their installation partners across New York, immediately jumped into action. With collaboration and persistence from Stonhard’s R&D, Tech Service and 70-person application team, the result was a successful installation of 120,000 square feet of seamless, hygienic, abrasion-resistant polyurea flooring, sealed with Stonhard’s Stonseal PA7 polyaspartic coating. A plural-component spray was applied system from fellow RPM company, Carboline. An extraordinary solution for extraordinary times, the project was completed in just 24 hours, so the pop-up emergency hospital could begin healing and helping as quickly as possible. By coming together as industry leaders, Stonhard and Carboline were able to collectively support the hard-hit New York metropolitan healthcare community amidst the COVID-19 pandemic.
Bringing to market a simple way to breathe new life into flooring for a fraction of replacement cost, Rust-Oleum has introduced HOME, a durable, two-step floor coating that transforms the look of outdated floors in just one day without the need for sanding, stripping or priming. It is ideal for use in bathrooms, kitchens, basements, laundry rooms and more.

2019 Success Stories Carboline, a global leader in coatings, linings and fireproofing, recently hosted the grand opening of its Carboline Fire-Science Research Center at 350 Hanley Industrial Court in St Louis, MO. This six-million-dollar addition to Carboline’s Research, Development and Innovation Center allows Carboline to accelerate its speed to market by three years.
Guardian Protection Products recently won a silver Stevie Award in the Customer Service Innovation category during the 14th annual Stevie Awards for Sales & Customer Service, the world’s top honors for customer service, contact center, business development and sales professionals. The event organizes eight of the world’s leading business awards programs, including the prestigious American Business Awards and International Business Awards.
One major international project is the new Jumeirah Gate Tower being developed in Dubai. A mixed-use development consisting of two 74-story, high-rise towers, it will feature a five-star hotel, serviced apartments and resident units—all joined at the upper level with a roof-top destination restaurant, bar and infinity pool. Despite strong competition from all major coating manufacturers, Carboline was selected to provide 250,000 liters of its fireproof Carboguard, Nullifire, Firefilm and Carbothane paints and coatings for this landmark project.
Another major project is the Temburong Bridge, a nearly 20-mile mega bridge currently under construction in Brunei. Designed to be the longest over-sea crossing in Southeast Asia, it will connect Mengkubau and Sungai Besar in Brunei-Muara District and Labu Estate in Temburong District. Pitchmastic PmB International, part of the USL Group, was awarded a subcontract to install its PmB structural waterproofing system along the entire length of the bridge. This is one of the largest projects ever undertaken by the USL Group.

Carboline has launched Carbomastic 615 MC, an outstanding surface tolerant epoxy mastic with low VOC’s. It cures fast, at low temperatures, with ultra-low VOC and ultra-low HAPs emissions. It’s ideal for industrial maintenance and new construction for customers where VOC limits are below 100 g/l. Carbomastic 615 MC has outstanding tolerance for marginal surface preparation and provides superb corrosion protection.

RPM Announces Three Senior Promotions as Part of Organizational Realignment
RPM International Inc. has promoted Lonny DiRusso to vice president and chief information officer, Matthew Franklin to vice president – information technology, and Gordon Hyde to vice president – operations.
In his new role, DiRusso will be responsible for ensuring that RPM’s corporate-wide IT program aligns with its overall strategic vision. He will report directly to Frank C. Sullivan, the company’s chairman and chief executive officer. Prior to this promotion, DiRusso held the position of vice president – information technology at RPM for the past 13 years and, before that, the titles of director – information technology and management information systems manager.
As VP – IT, Franklin will be responsible for day-to-day IT support at RPM’s corporate headquarters, providing senior oversight of IT initiatives companywide and managing its information security program. Having joined RPM 20 years ago, he previously held the position of senior director – IT operations. Franklin is a member of The Conference Board’s CISO Council, where he serves on its executive committee.
In his new role, Hyde will be joining colleague Timothy Kinser, also recently appointed as vice president – operations, to team together to lead RPM’s manufacturing, supply chain and procurement improvement initiatives. He will primarily be focused on driving manufacturing efficiencies, asset optimization and inventory improvement. Hyde began his career at RPM more than 20 years ago as vice president – operations for Zinsser, a former RPM operating company, and subsequently held similar positions at RPM and its Wood Finishes Group before joining RPM Specialty Products Group in 2015.

RPM’s Tremco Roofing’s AlphaGuard bio-based polyurethane coating system was used to restore Ford Field’s 340,000-square-foot domed roof in Detroit, Michigan. Roof restoration typically costs one-third to one-half as much as a replacement. After performing comprehensive diagnostics of the 14-year-old PVC single ply roof and finding minimal damage, Tremco Roofing recommended restoring the roof instead of replacing it. Spot repairs were made, the roof cleaned with the environmentally-friendly RoofTec system, and the durable AlphaGuard BIO fluid applied system installed.
In addition to waterproofing the roof, AlphaGuard BIO’s highly reflective topcoat can help reduce energy use as it absorbs much less heat than a traditional black roof. The project was completed in about 60 days, compared to a possible nine months for replacement.

RPM has signed an agreement to acquire SPS Group, a Dutch decorative and specialty coatings company with annual net sales of approximately $60 million. Located about an hour south of Amsterdam, SPS will operate as part of RPM’s Rust-Oleum European business. Terms of the transaction were not disclosed. It is expected to be accretive to earnings within one year, excluding one-time costs.
SPS offers a complete line of topcoats for interior and exterior walls, primers, lacquers, floor and roof coatings, metal coatings, wood stains and finishes, plasters and more. Its major customers are large home center chains and builder merchants based in the Netherlands. Its products are used by painters, plasterers, industry and do-it-yourselfers. “By leveraging the manufacturing and distribution strengths of SPS, we expect this acquisition to accelerate Rust-Oleum’s growth in the Netherlands and other nearby European countries,” stated Frank C. Sullivan, RPM chairman and chief executive officer. “It will also allow the existing customer base of SPS to benefit from Rust-Oleum technologies and innovations.”

Recent Acquisitions RPM’s Rust-Oleum subsidiary has acquired Seal-Krete, a leading U.S. manufacturer of concrete care coatings and sealants for the retail market with annual net sales in excess of $10 million. Terms of the transaction, which is expected to be accretive to earnings within one year, were not disclosed.
Seal-Krete, formerly a division of Clayton Valve, manufactures a complete line of priming, painting, sealing and finishing products for maintaining and decorating concrete, masonry, brick and pavers. Its products are sold primarily through home improvement centers, as well as through independent hardware and paint stores. Among its leading brands are Seal-Krete Original, Damplock, Epoxy-Seal and Clear-Seal.
RPM’s Mantrose-Haeuser Co., Inc. subsidiary within the RPM Specialty Products Group has acquired Holton Food Products Company, a leading U.S. supplier of food stabilizer and dry egg white products for the bakery and prepared food markets. Based in LaGrange, near Chicago, Illinois, Holton has annual net sales of $7 million. Terms of the transaction, which is expected to be accretive to earnings within one year, were not disclosed.
Holton supplies high-strength dry egg white products, used with its food stabilizers, for small- or large-scale, high-speed production of meringue toppings, fillings, cookies, cakes, pies, and other dessert and entrée items. Holton’s products are primarily sold to large bakery and food companies to optimize appearance, texture, moisture control, production efficiency, freeze-thaw stability and shelf life. Ross, John and David Holton, sons of the founder, will stay on to run the business.
Acquisitions Drive Growth for RPM When it comes to acquisitions, RPM seeks either free-standing entrepreneurial companies or product lines with between $10 million and $300 million in annual sales. It targets companies that fit within its portfolio of specialty coatings businesses, can be integrated into an existing RPM platform, hold a market-leading position and generate strong profit margins.
RPM often retains the entrepreneurial management teams that made the companies it acquires successful in the first place. Today, more than one-third of RPM’s businesses are operated by the original founders or their second- or third-generation family members. Based in Kent, near London, England, Firetherm has annual net sales of approximately $10 million. Terms of the transaction, which is expected to be accretive to earnings within one year, were not disclosed.

RPM2 Group has acquired Morrells Woodfinishes Ltd., the UK’s largest manufacturer of high-performance wood finishes. Based outside of Manchester, Morrells has annual net sales of approximately $33 million and nearly 150 employees. The company will remain a stand-alone operation within RPM2’s Wood Finishes Group. Terms of the transaction, which is expected to be accretive to earnings within one year, were not disclosed.
Morrells designs, manufactures and distributes a portfolio of high-performance wood coating systems. The Morrells product line includes proprietary wood stains, lacquers, colorants and adhesives for niche applications in the furniture, cabinetry, and building construction and restoration sectors. Among its specialty coatings are finishes that provide protection from fire, weather and bacteria. The company’s products are sold under the Xerofire, Induro and Omnia brands. Morrells also provides professional application equipment and accessories under its Sprayshop brand. The company has an extensive network of branches throughout the UK, which provide local support to manufacturers for their particular needs.

Always Innovating Among the latest innovations from RPM’s operating companies is DAP SmartBond, a polyurethane adhesive foaming gel that is faster and easier to use than traditional cartridge adhesives. One can of SmartBond provides eight times the coverage of cartridge adhesives, shortening construction time and reducing waste. For the ninth consecutive year, DAP received the 2014 Golden Hammer Award from Home Channel News, which recognized DAP as the premier supplier in the caulks and sealants category. In addition, Rust-Oleum launched SpraySmart, a first of its kind, patent-pending, propellant-free delivery system for spraying marking paint.

This reputation was solidified during RPM’s 2015 fiscal year ended May, 31, as the company acquired four companies with $61 million in total annual net sales. The businesses that joined RPM include: Krud Kutter Inc., a producer of specialty cleaners and removers; Spraymate Group, the producer of South Africa’s leading aerosol paint brand; Morrells Woodfinishes Ltd., the United Kingdom’s largest manufacturer of high-performance wood finishes; Firetherm Intumescent & Insulation Supplies Ltd., the United Kingdom’s market leader in fire-stopping solutions for the construction industry.
RPM International Inc. is a multinational holding company with subsidiaries that manufacture and market high-performance coatings, sealants and specialty chemicals, primarily for maintenance, repair and improvement applications. RPM reported revenue for 2013 of $4.1 billion. The company employs approximately 10,500 people and has 93 facilities in 23 countries. In fiscal 2013, the company’s industrial products accounted for 65 percent of its total coating sales, with consumer products representing 35 percent. The Industrial segment’s operating groups include RPM Building Solutions Group, which provides roofing systems, sealants, corrosion control coatings, flooring coatings and specialty chemicals. Leading brands include Tremco, Euco, Illbruck, Stonhard, Flowcrete, Carboline, Vandex, API, Tamms, NulliFire, Expanko and FritzTile.
RPM’s Rust-Oleum Group has acquired Citadel Restoration and Repair, Inc., a producer and marketer of premium concrete and wood deck floor coatings for both the professional contractor and do-it-yourself (DIY) markets. Based in North St. Paul, Minnesota, Citadel has annual sales of approximately $10 million.
Citadel’s unique formulation of concrete floor coatings allows for a quick 24-hour cure, compared to conventional systems that require at least 72 hours of cure time. The company’s Citadel brand is marketed to professional contractors, while its Rock Solid brand is targeted to the DIY market. Citadel also offers a premium line of Rock Solid exterior wood care products that provide performance advantages over conventional stains.
RPM’s Performance Coatings Group has acquired Expanko Inc., a manufacturer of FritzTile brand terrazzo tile, as well as cork, rubber and rubber/cork floor tiles, for an undisclosed sum.
Expanko, based in Exton, Pennsylvania, makes flooring products for schools, healthcare facilities, hotels, and sports and entertainment venues. It has annual sales of $12 million.
The acquisition includes Expanko’s manufacturing facilities in Mesquite, Texas.

Growth Opportunities in South America The market with some of the greatest growth potential for RPM is Brazil. It is the world’s sixth largest economy and is investing heavily in infrastructure for the hosting of the 2014 World Cup and 2016 Summer Olympics. Thanks to the June 19, 2012, acquisition of Viapol Ltda., RPM gained a platform from which many of its businesses can enter Brazil. Viapol is already distributing Tremco, Euclid Chemical and Flowcrete products.
Building Freedom The new Freedom Tower in New York was constructing using several RPM products, including Euclid Chemical admixtures, Stonhard polymer flooring and Carboline corrosion control and fireproofing coatings.
Always Innovating NeverWet is the latest innovation from Rust-Oleum. Objects coated with the NeverWet temporary treatment dramatically repel water and other liquids. Other recent innovations are Zinsser’s B-I-N Advanced, a primer made with synthetic shellac and DAP DRAFTSTOP 812, a non-rigid polyurethane foam that creates weatherproof seals around window and door frames.
